Spend some time poking around this site.
http://www.theeldergeek.com/xp_upgrade_paths.htm
Digestable info for non-techies (like myself). You might find some answers there. One clue you gave us is that the machine only has 256K, which will run the OS ok, but doens't leave much behind for other applications. That, to me, indicates an old machine. Some older hardware isn't supported by XP, so check the your hardware against the incompatible hardware list on the site.
Although that shouldn't keep you from loading it. You got me scratching my head over the BIOS thing. Possibly a motherboard-XP incompatibility? Although those are rare.
How old is that machine, anyway?

Correction Mr. President, I DID build this, and please give Lurker a hug, we wouldn't want to damage his self-esteem.

I put another 256MB in, so its 512 total - one 256 and two 128s.
MB is an ASUS Socket A. Duron 1200 CPU, three sticks of PC133 RAM (256+128+128=512). 30 gig HD, and an ancient floppy.
I doubled the RAM and that killed the fatal BIOS exception. Now its back to being unable to load she1132.dll.

The mobo-processor combo is rated to handle XP, so that's not the issue I would think.
Do this:
1) Partition the drive: (but don't use the partition application on the install disk). Partition Magic is an older application that might be had for cheap. Use the application to set up the drive without multiple partitions.
2) Format the drive: (do this from the XP install disk.... there should be a prompt window during the install procedures that allows you to do this)
3) Try to re-install.
I've had XP choke on me in similar circumstances when I've had an old Windos OS on the drive (was previous version of XP). It would hang up when trying to copy a file, always at the same place. I had to re-partition the drive, then format it, and then do a clean install.
This after much cussing and book-throwing.

I pulled some plugs on the computer i'm using now and rigged up the hard drive.
Setup installed flawlessly.
I put it back on the other comp, and it runs into complications. Right now its hung up on modem.sys.
I'm gonna try using completely different RAM next I think
if its not the RAM then its the MB I would have to conclude.

It's either memory errors or drive errors. My guess if it's blue screening is that it's memory errors. Download UBCD and burn it from a separate machine then run the memory testing utilities. If they come up ok then run the HDD tests.
